Tokenization of Real-World Assets (RWA) and NFTs
Feasibility, technical and regulatory framework for real estate tokenization in Mexico via fideicomiso (trust).
What is RWA Tokenization?
Real World Asset (RWA) tokenization consists of representing ownership rights, participation, or financial flows of real-world assets through digital tokens on a blockchain.
In the Mexican real estate context:
- A token can represent fideicomisary (trust beneficiary) rights over a fraction of a property.
- Rights are recorded in a smart contract that automates yield distribution and transfers.
- The blockchain provides traceability, transparency, and immutability.
Applicable Regulatory Framework
Ley Fintech (LRITF)
Mexico was a pioneer with the Ley para Regular las Instituciones de Tecnología Financiera (Law to Regulate Financial Technology Institutions, 2018), which:
- Recognizes virtual assets as electronic representations of value.
- Regulates collective financing platforms (crowdfunding).
- Establishes KYC/AML requirements for operators.
CNBV and Banco de México
- The CNBV (Comisión Nacional Bancaria y de Valores — National Banking and Securities Commission) supervises ITFs (Instituciones de Tecnología Financiera — Financial Technology Institutions).
- Banxico maintains the list of authorized virtual assets.
- Current limitation: Real estate tokens are not explicitly regulated as securities, creating a gray area.
SEC/CFTC Considerations (For Foreign Investors)
If tokens are offered to U.S. investors, they could qualify as securities under the Howey test, requiring registration with the SEC or an exemption (Reg D, Reg S).

Recommended Token Standard
- ERC-1400 (Security Token Standard) — for tokens representing fideicomisary rights.
- Includes transfer restrictions (KYC whitelist), partitions, and associated documents.
- Compatible with Ethereum, Polygon, and other EVM chains.
Tokenization Flow
- Fideicomiso constitution → The associated smart contract is generated.
- Token issuance → Tokens representing fideicomisary rights are minted.
- KYC on-chain → Only verified wallets can receive/transfer tokens.
- Yield distribution → Smart contract automatically distributes to holders.
- Secondary market → Possibility of P2P exchange or trading on regulated exchanges.
Estimated Tokenization Costs
| Item | Approximate Cost |
|---|---|
| Smart contract development | $15,000 – $40,000 USD |
| Security audit | $10,000 – $25,000 USD |
| Blockchain infrastructure (annual) | $2,000 – $5,000 USD |
| Specialized legal advisory | $8,000 – $20,000 USD |
| Oracle/payment integration | $5,000 – $15,000 USD |
| Estimated total | $40,000 – $105,000 USD |
Feasibility for GoWeBa
Phase 1: Without Tokenization (Current)
- Atypical hybrid fideicomiso with traditional documentation.
- Payment administration via the GoWeBa platform.
- Recommendation: Implement the non-blockchain model first.
Phase 2: Pilot Tokenization (Future)
- Tokenize fideicomisary rights for selected transactions.
- Implement KYC/AML on-chain.
- Secondary market limited to qualified investors.
Phase 3: Scaling
- Property fractionalization for collective investment.
- DeFi integration for liquidity.
- Real estate token staking.
Risks and Mitigation
| Risk | Mitigation |
|---|---|
| Regulatory uncertainty | Maintain ongoing legal advisory; operate under regulatory sandbox if available |
| Crypto volatility | Use stablecoins (USDC, MXNt) for denomination |
| Smart contract bugs | Audit by a recognized firm (Certik, OpenZeppelin) |
| Limited adoption | Start with sophisticated investors; gradual education |
| Cross-jurisdiction | Comply with regulations from the investor's country of origin |
