Legal Framework for Private Financing in Mexico

Complete guide to the regulatory environment applicable to private real estate financing in Quintana Roo and Mexico.

Ley General de Títulos y Operaciones de Crédito (LGTOC) (General Law of Credit Instruments and Transactions)

The LGTOC is the fundamental pillar of the Mexican fideicomiso (trust). Its key articles include:

  • Art. 381 — Definition of the fideicomiso: "By virtue of the fideicomiso, the fideicomitente (settlor) transfers to a fiduciary institution the ownership or title of one or more assets or rights…"
  • Art. 382 — Autonomous estate: the assets held in fideicomiso form a separate estate from the fiduciary's own assets.
  • Art. 392 — Prohibition on fiduciary benefit: the fiduciary cannot be the fideicomisario (beneficiary).
  • Art. 395 — Grounds for termination of the fideicomiso (fulfillment of purpose, impossibility, agreement of the parties, revocation).
  • Art. 403 — Maximum duration: the fideicomiso cannot exceed 50 years, except in certain cases.

Implications for GoWeBa

The fideicomiso allows foreigners to acquire real estate in the restricted zone (50 km from the coast, 100 km from the border) in accordance with the Ley de Inversión Extranjera (LIE) (Foreign Investment Law, Arts. 10–11).

Ley de Inversión Extranjera (LIE) (Foreign Investment Law)

The LIE establishes the special regime for the acquisition of real estate by foreigners:

  • Art. 10 — Foreigners may acquire full ownership of real estate outside the restricted zone. Within the restricted zone, they are required to use a bank fideicomiso.
  • Art. 11 — The bank fideicomiso allows the foreigner to use, enjoy, and obtain the fruits of the property. Maximum duration of 50 years, renewable.

SRE Requirement

Every foreigner must obtain a permit from the Secretaría de Relaciones Exteriores (SRE) (Ministry of Foreign Affairs) and sign the Calvo clause (waiver of diplomatic protection in real estate matters).

Código Civil del Estado de Quintana Roo (Civil Code of the State of Quintana Roo)

The local Código Civil regulates:

  • Contratos de mutuo (loan agreements) — Arts. 2268–2310
  • Garantías reales (real guarantees/liens) (mortgages) — supplementary rules to the fideicomiso
  • Compraventa inmobiliaria (real estate purchase and sale) — mandatory notarial formalities

Every transfer of real estate ownership in Quintana Roo requires a escritura pública (public deed) before a notary and subsequent registration with the Registro Público de la Propiedad (RPP) (Public Registry of Property).

CNBV — Fiduciary Regulation

The Comisión Nacional Bancaria y de Valores (CNBV) (National Banking and Securities Commission) supervises authorized fiduciary institutions. Key points:

  • Only banking institutions or expressly authorized entities may act as fiduciaries.
  • The CNBV establishes capital requirements, reserves, and regulatory reporting obligations.
  • SOFOMes (Sociedades Financieras de Objeto Múltiple) (Multi-Purpose Financial Companies) may extend credit but may not act as fiduciaries.

LFPIORPI — Anti-Money Laundering

The Ley Federal para la Prevención e Identificación de Operaciones con Recursos de Procedencia Ilícita (LFPIORPI) (Federal Law for the Prevention and Identification of Transactions with Illicitly Obtained Funds) imposes critical obligations:

  • Art. 17, Fracción XI — The provision of mutuo (lending) services and the establishment of fideicomisos are actividades vulnerables (vulnerable activities) subject to reporting.
  • Reporting threshold: transactions equal to or exceeding $573,690 MXN (updated value) require a notice to the UIF (Unidad de Inteligencia Financiera) (Financial Intelligence Unit).
  • KYC/AML obligations: customer identification, documentation of the source of funds, retention of records for a minimum of 5 years.

Penalties

Non-compliance with the LFPIORPI may result in:

  • Fines of up to 65,000 UMA (~$6.9 million MXN)
  • Closure of the establishment
  • Criminal liability for administrators
