1. Agreement to Terms

By accessing or using GoWeBa (the "Service"), operated by GOWEBA INC., a Wyoming Corporation, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

GoWeBa is a SaaS (Software as a Service) business management platform that provides:

  • Contact and relationship management (CRM).
  • Email hosting and communications management with departmental routing.
  • Calendar and scheduling tools with booking pages.
  • Task and project management with customizable pipelines.
  • File storage and document management (WebaDrive).
  • Billing, invoicing, subscription management, and e-commerce (WebaStore).
  • SMS and voice communications via integrated telephony.
  • AI-powered business assistant (WEBA) with 35 specialized AI agents.
  • Data migration services from Google Workspace, Microsoft 365, and other platforms.
  • Affiliate program management.

3. Account Registration

  • You must be at least 18 years old to create an account.
  • You must provide accurate and complete registration information.
  • You are responsible for maintaining the security of your account credentials (password and PIN).
  • You are responsible for all activities that occur under your account.
  • Each user account is personal and non-transferable.
  • You must promptly notify us of any unauthorized access to your account.

4. SMS & Communication Terms

By providing your phone number and opting in to SMS communications during registration, you consent to receive text messages from GoWeBa. These include:

  • Notifications: Appointment reminders, task deadlines, account updates.
  • Security messages: Two-factor authentication codes, login verification.
  • Service alerts: Billing notifications, system status updates.
  • Reply HELP for assistance.

Important SMS Information:

  • Message frequency varies based on your activity and settings.
  • Reply STOP to any message to opt out of SMS notifications.
  • Message and data rates may apply depending on your carrier plan.
  • Opting out of SMS may limit certain security features (e.g., 2FA via SMS).
  • GOWEBA INC. will not share, sell, rent, or distribute your mobile phone number or SMS/text messaging opt-in consent data with any third parties for marketing or promotional purposes.

5. Acceptable Use

You agree NOT to:

  • Use the Service for any illegal or unauthorized purpose.
  • Attempt to gain unauthorized access to other accounts or systems.
  • Attempt to reverse-engineer, decompile, or extract the AI models or algorithms used by WEBA.
  • Interfere with or disrupt the Service or its infrastructure.
  • Send unsolicited communications (spam) through the platform.
  • Upload malicious code, viruses, or harmful content.
  • Resell or redistribute the Service without written authorization.
  • Violate any applicable laws, including CAN-SPAM, TCPA, GDPR, and CASL regulations.

⚠️ CASL Compliance — Canada's Anti-Spam Legislation

Use of GoWeBa for sending commercial electronic messages (CEMs) is subject to Canada's Anti-Spam Legislation (CASL, S.C. 2010, c. 23). Every platform user agrees to comply with the following obligations:

  • Express consent: Obtain the recipient's express consent before sending any CEM via GoWeBa's campaign tools. Implied consent is only accepted in cases provided by law (existing business relationship under 2 years, inquiry under 6 months).
  • Identification: Every CEM must clearly identify the sender, include valid postal contact information for the organization, and provide a functional unsubscribe mechanism.
  • Unsubscribe: Process any unsubscribe request within a maximum of 10 business days. GoWeBa automates this process via marketing consent in account settings.
  • Penalties: CASL violations can result in fines of up to $10,000,000 per violation for individuals and up to $10,000,000 for businesses. GoWeBa reserves the right to suspend any non-compliant account.

6. Artificial Intelligence Services & WEBA

GoWeBa integrates a proprietary AI infrastructure powered by 35 specialized AI agents working together through a Large Language Model (LLM) orchestration layer. This technology powers WEBA, our AI virtual assistant, and various automated features throughout the platform.

6.2 AI Usage & Limitations

  • AI agents operate on a credit-based system. Each AI interaction consumes credits from your WEBA Wallet.
  • AI-generated content is provided "as-is" and may contain inaccuracies. You are responsible for reviewing and verifying all AI outputs before acting on them.
  • GoWeBa does not guarantee the accuracy, completeness, or suitability of AI-generated content for any specific purpose.
  • Your data is not used to train, fine-tune, or improve the underlying AI models. Your data stays within your organization.
  • GoWeBa reserves the right to update, modify, or replace AI models and agents at any time to improve performance and capabilities.

6.3 AI Credits — Non-Refundable Policy

⚠️ Important — Credit Policy

  • AI credits are non-refundable once consumed. Each AI request (WEBA conversation, document generation, email composition, migration processing, etc.) deducts credits from your WEBA Wallet.
  • Credits are consumed at the time of processing, regardless of whether you use, accept, or discard the AI-generated output.
  • Failed or interrupted AI requests may still consume credits if processing has begun on our infrastructure.
  • Unused credits in your wallet do not expire as long as your account remains active.
  • Auto-top-up may be enabled to automatically replenish credits when your balance falls below a configured threshold.
  • Credits cannot be transferred between organizations or accounts.
  • You can monitor your credit usage in real time via the WEBA Wallet section of the dashboard.

7. Subscription & Billing

  • Payments are processed securely through Stripe. GoWeBa does not store credit card numbers.
  • We reserve the right to modify pricing with 30 days' advance notice.
  • Subscription fees are billed in advance on a monthly or annual basis.
  • Usage-based features (AI credits, SMS, storage, phone numbers) are billed based on consumption.
  • GoWeBa operates on a subscription model with various plans.
  • All subscription fees and AI credit purchases are non-refundable unless otherwise stated in writing.
  • Failure to pay may result in suspension or termination of your account.

8. Data Migration Services

GoWeBa offers data migration services from third-party platforms (Google Workspace, Microsoft 365, Zoho, Rackspace, iCloud, and others). By using these services:

  • You authorize GoWeBa to access your third-party account data in read-only mode for the purpose of migration.
  • Migration processing consumes AI credits from your WEBA Wallet.
  • You confirm that you have the right to migrate the data and that it does not infringe on third-party rights.
  • You may revoke access to third-party services at any time through your account settings or the third-party provider's permissions page.
  • GoWeBa is not responsible for data loss, corruption, or incomplete migration caused by third-party service limitations.

9. Data Ownership

  • Your Data: You retain all rights to your data. We do not claim ownership of content you upload, create, or import.
  • License: You grant us a limited license to process your data solely for the purpose of providing the Service, including AI processing by WEBA agents.
  • Export: You may export your data at any time in standard formats.
  • Deletion: Upon account termination, your data will be deleted within 90 days.

10. Intellectual Property

The GoWeBa platform, including its design, code, AI models, the 35 AI agent architecture, WEBA's persona, branding, documentation, and all related intellectual property, is owned by GOWEBA INC. You may not copy, modify, distribute, reverse-engineer, or create derivative works of any part of the Service.

The names "GoWeBa", "WEBA", "WebaDrive", "WebaStore", and "WebaSign" are trademarks of GOWEBA INC. Unauthorized use is prohibited.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOWEBA INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, INCLUDING BUT NOT LIMITED TO DAMAGES ARISING FROM AI-GENERATED CONTENT, DATA MIGRATION ERRORS, OR SERVICE INTERRUPTIONS. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Disclaimer of Warranties

THE SERVICE, INCLUDING ALL AI-GENERATED CONTENT AND MIGRATION SERVICES, IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. AI OUTPUTS MAY CONTAIN ERRORS AND SHOULD BE VERIFIED BEFORE USE.

13. Termination

  • You may terminate your account at any time by contacting
  • We may suspend or terminate your account for violation of these Terms.
  • Upon termination, your right to access the Service ceases immediately.
  • No refunds will be issued for remaining subscription time or unused AI credits upon termination.
  • Sections regarding liability, intellectual property, AI credits, and governing law survive termination.

14. Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of Sheridan County, Wyoming.

15. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or through the Service at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance of the modified Terms.

17. International Regulatory Compliance

GoWeBa is designed to help its users comply with applicable data protection and electronic communications regulations. This section describes our compliance commitments.

🇨🇦 CASL — Canada's Anti-Spam Legislation

GoWeBa integrates CASL compliance mechanisms (S.C. 2010, c. 23) directly into the platform:

  • Express consent: Non-pre-checked checkbox during signup and in capture forms. Consent is timestamped and stored in the database.
  • Implied consent: GoWeBa does not presume implied consent. Every CEM requires verified express consent by our system before campaign sending.
  • Unsubscribe mechanism: Every marketing email contains a functional unsubscribe link. Unsubscription is processed immediately in the platform.
  • Consent records: GoWeBa maintains a complete consent record (date, time, method of obtainment, IP address) compliant with CASL's evidentiary requirements.
  • Liability: The user is responsible for ensuring their contact lists comply with CASL consent requirements. GoWeBa provides the tools, but final compliance rests with the user.

🇨🇦 PIPEDA — Personal Information Protection

GoWeBa respects PIPEDA's 10 Fair Information Principles:

  • Identifying purposes: We identify the purposes for which personal information is collected at or before the time of collection.
  • Consent: The collection, use and disclosure of personal information is done with the individual's consent, unless otherwise permitted by law.
  • Limiting collection: We collect only the personal information necessary for the identified purposes. Collection is by fair and lawful means.
  • Accuracy: Personal information is as accurate, complete and up-to-date as required by the purposes for which it is to be used.
  • Safeguards: Personal information is protected by security safeguards appropriate to its sensitivity (encryption, access control, audit).
  • Individual access: Upon request, we inform any individual of the existence, use and disclosure of their personal information and provide access to it.

🇪🇺 GDPR — General Data Protection Regulation

For users residing in the EU/EEA, GoWeBa acts as a data controller and commits to complying with Regulation (EU) 2016/679:

  • Lawful basis: We process personal data on the basis of consent (Art. 6(1)(a)), contract performance (Art. 6(1)(b)) and legitimate interest (Art. 6(1)(f)).

  • Breach notification: In the event of a data breach likely to result in a high risk, we will notify the competent supervisory authority within 72 hours and affected individuals without undue delay.
  • Impact assessments: We conduct Data Protection Impact Assessments (DPIAs) for processing likely to result in a high risk to individuals' rights and freedoms.
  • Data subject rights: EU/EEA users may exercise their rights (access, rectification, erasure, portability, objection, restriction) by contacting [email protected]. We respond within 30 days.
